1. Acceptance of Terms
By accessing or using CoreScale's website, services, or SMS messaging program, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.
1.1 Eligibility (18+)
You must be at least eighteen (18) years of age to access or use CoreScale LLC’s services, including participation in our SMS messaging program. By using our services or opting in to receive SMS messages, you represent and warrant that you are 18 years of age or older.
2. Services Overview
CoreScale LLC is an execution-based fractional operating group that provides advisory services, strategic planning, operational consulting, and growth/exit readiness programs for mid-market companies. Our services include:
Operational assessments and gap analysis
Strategic planning and implementation guidance
Business process optimization
Exit readiness preparation
Advisory consulting for business owners, brokers, and investors
3. Advisory Nature of Services
3.1 Recommendations Only
CoreScale LLC provides professional recommendations and strategic guidance. We do not make business decisions on your behalf, supervise your personnel, or assume any management, operational, or fiduciary role within your business. You remain solely responsible for all business decisions, implementations, and outcomes.
3.2 No Regulated Professional Advice
CoreScale LLC does not provide legal, tax, accounting, investment, medical, or other regulated professional services. You must consult with your own licensed professionals for such advice.
3.3 No Guarantees
We do not guarantee any specific outcomes, ROI, savings, funding approvals, audit results, or regulatory clearances from our services.
4. Client Responsibilities
You are solely responsible for:
Evaluating and verifying the suitability of any recommendations
Obtaining independent professional advice before implementing recommendations
Compliance with all applicable laws and regulations
Implementation and operation of your business systems and processes
All business decisions and their outcomes
5. Intellectual Property
All materials, tools, methodologies, and content provided by CoreScale LLC remain our intellectual property. Upon full payment for services, you receive a limited, non-exclusive license to use deliverables internally for your business purposes only.
6. Fees and Payment
Service fees are determined based on scope of work and will be communicated prior to engagement. Payment terms are net 15 days from invoice date unless otherwise agreed. Late payments accrue interest at 1.5% per month or the maximum rate allowed by law, whichever is lower.
7. Confidentiality
We will protect your confidential information using reasonable care and use it only to provide our services. We maintain commercially reasonable security measures but cannot guarantee error-free or uninterrupted security.
8. Limitation of Liability
8.1 No Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORESCALE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; OR BUSINESS INTERRUPTION.
8.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORESCALE'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE FEES PAID FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.
8.3 Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED, ALL SERVICES AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
9. Indemnification
You agree to defend, indemnify, and hold harmless CoreScale LLC from any claims, damages, losses, or expenses arising from:
Your use of or reliance on our services
Your business decisions or implementations
Your violation of any laws or third-party rights
Claims by your customers, employees, or other parties related to the above
10. Term and Termination
These Terms remain in effect while you use our services. Either party may terminate services with thirty (30) days' written notice. Upon termination, you remain responsible for payment of all fees for services rendered through the termination date.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to its conflicts of laws principles.
11.2 Venue
Any disputes will be resolved exclusively in the state and federal courts located in Clark County, Nevada. You consent to the jurisdiction and venue of these courts.
11.3 Jury Trial Waiver
TO THE EXTENT PERMITTED BY LAW, BOTH PARTIES WAIVE THE RIGHT TO A JURY TRIAL.
12. Compliance
12.1 Anti-Corruption
Both parties will comply with all applicable anti-corruption laws and will not engage in any bribes, kickbacks, or improper payments.
12.2 Export Controls
Both parties will comply with U.S. export control and sanctions laws, including OFAC and EAR/ITAR regulations.
12.3 SMS Eligibility
Participation in CoreScale LLC’s SMS messaging program is limited to individuals who are 18 years of age or older.
SMS MESSAGING TERMS
13. Business Identity Clause
CoreScale LLC operates an SMS messaging program. Users can expect to receive messages related to operational consulting services, growth and exit readiness programs, appointment scheduling and reminders, and service-related updates and informational messages relevant to user-initiated requests for owners, brokers, and investors.
14. Opt-Out & Support Mechanisms
You can cancel the SMS service at any time. Just text "STOP" to +1 702-935-5030. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

15. Carrier Liability Clause
Carriers are not liable for delayed or undelivered messages.
16. Message Frequency Clause
As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency may vary. You will receive up to 4 messages per month depending on your interaction and requests. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

18. SMS Compliance
CoreScale LLC complies with all applicable SMS/MMS industry standards, including CTIA guidelines and carrier requirements for commercial messaging programs.
By opting in to receive text messages, you acknowledge and agree to these Terms of Service and our Privacy Policy. Message frequency may vary. Consent to receive SMS is not a condition of purchase.
19. Changes to Terms
We may update these Terms of Service from time to time. Changes will be posted on this page with an updated effective date. Your continued use of our services after changes are posted constitutes acceptance of the revised terms.
